These Terms ensure contractual clarity, define user obligations, and secure the Company's intellectual property, digital infrastructure, and transaction processes.
The Company adopts a zero-tolerance approach towards policy violations, misuse of platform features, or abusive conduct. These Terms establish a structured, rights-based mechanism to promote user safety, legal compliance, and seamless platform usage across all interactions.
WHEREAS
CoStar Clothing is a consumer-facing fashion and lifestyle platform operating in the Indian e-commerce ecosystem, committed to the highest standards of consumer protection, data privacy, and responsible conduct;
Applicable laws in India, including the Consumer Protection Act, the E-Commerce Rules, and the Digital Personal Data Protection Act, mandate fair disclosures, complaint redressal, and contractual transparency in all online commercial transactions;
The Company recognizes the importance of safeguarding consumer rights, protecting digital infrastructure, and enforcing user accountability in accordance with legal and commercial norms;
This document sets out the unified and binding Terms that govern the conduct, rights, and obligations of Users when engaging with the Website, its features, services, and related communications;
NOW THEREFORE, CoStar Clothing hereby adopts these Terms and Conditions to provide a lawful, equitable, and trustworthy digital experience for its Users, and to formally articulate the operational, legal, and commercial terms applicable to all platform usage.
1. Definitions and Interpretation
1.1 Definitions
In this Policy (including the recitals above), except where the context otherwise requires, the following words and expressions shall bear the meaning assigned below:

1.2 Interpretation
- Section headings are for convenience only and do not affect the construction of this Policy.
- Words denoting the singular include the plural and vice versa; words denoting any gender include all genders, unless the context otherwise requires.
- "hereof," "herein," "hereto" and similar words refer to this entire Policy unless the context indicates a specific Section.
- References to this Policy include any amendments or updates approved by the Company from time to time.
2. Purpose
The purpose of these Terms is to define and regulate the legal relationship between CoStar Clothing ("Company") and the users of its Website, including customers, browsers, account holders, and any other parties interacting with the Company's digital platform. These Terms aim to ensure transparency, contractual certainty, and lawful conduct in all aspects of digital engagement, including browsing, ordering, payments, returns, communications, and the use of intellectual property.
This document serves as a binding agreement setting out the obligations, rights, and remedies available to both Users and the Company, in accordance with prevailing Indian laws including the Indian Contract Act, 1872; the Consumer Protection Act, 2019; the Information Technology Act, 2000; the Digital Personal Data Protection Act, 2023; and the Consumer Protection (E-Commerce) Rules, 2020. These Terms also incorporate by reference the Company's Privacy Policy, Refund & Exchange Policy, and Shipping Policy.
In the event of any inconsistency between these Terms and any other internal policies, statements, or communications of the Company, these Terms shall prevail to the extent of such inconsistency in matters relating to the access, use, or operation of the Website, user conduct, product transactions, digital services, and related legal disclaimers. However, in respect of domain-specific issues — such as refunds, exchanges, shipping, or data security — the respective standalone policies shall apply and override these Terms solely to the extent of such inconsistency.
3. Eligibility to Contract
By accessing the Website, placing an order, registering for an account, or otherwise engaging with the services provided by CoStar Clothing, the User represents and warrants that they are legally competent to contract under Section 11 of the Indian Contract Act, 1872. Specifically, the User affirms that they have attained the age of 18 years, are of sound mind, and are not disqualified from contracting by any law to which they are subject.
In compliance with the Digital Personal Data Protection Act, 2023, the Company does not knowingly collect personal data or enter into contracts with minors (individuals under the age of 18) without verifiable parental or guardian consent. The Company reserves the right to restrict, suspend, or terminate access to any User found to be in violation of this clause or who misrepresents their legal eligibility to engage with the Website.
4. User Account Terms
To access certain features of the Website, including placing orders, saving addresses, tracking shipments, and redeeming promo codes, Users are required to register for a personal user account ("Account"). By creating and maintaining an Account, the User agrees to provide accurate, complete, and current information and to promptly update it as necessary.
The User is solely responsible for maintaining the confidentiality and security of their Account credentials, including username, password, OTP codes, and linked mobile number or email address. The Company shall not be liable for loss or damage arising from unauthorized access or misuse of the User's Account due to the User's own negligence. The User agrees to notify the Company immediately at [Legal/Support Email] in the event of any actual or suspected unauthorized use of their Account.
Each Account is personal and non-transferable. Users shall not create or operate multiple accounts to circumvent platform policies, misuse promotional offers, or engage in fraudulent behavior. The Company reserves the right to suspend, deactivate, or terminate any Account found to be in violation of these Terms or suspected of unlawful activity.
The Company also reserves the right to restrict account functionalities or require identity verification in accordance with its internal fraud prevention and customer due diligence protocols, carried out in compliance with the Digital Personal Data Protection Act, 2023.
Where an Account remains inactive for a continuous period of 24 months or more, the Company may initiate deactivation or deletion of the Account after providing 30 days' prior notice to the registered email address. Upon such deactivation, any unused promo codes, store credits, or saved preferences may be rendered void unless otherwise required by law.
Users may voluntarily request closure of their Account at any time by submitting a written request to customer support. Certain transaction records, invoices, and associated personal data may nonetheless be retained by the Company in accordance with applicable law and its Privacy Policy.
5. Website Use Restrictions (Acceptable Use Policy)
Scope: By accessing or using the Website, the User agrees to comply with all applicable laws and regulations and to use the platform only for lawful and permitted purposes.
Prohibited Activities. Users shall not, directly or indirectly:
- Access or use the Website in any manner that violates applicable Indian laws, including the Information Technology Act, 2000, and the Consumer Protection Act, 2019;
- Upload, post, transmit, or make available any content that is obscene, defamatory, abusive, harassing, threatening, hateful, inflammatory, discriminatory, or otherwise illegal or objectionable;
- Infringe upon or misappropriate any third-party intellectual property rights, including copyright, trademark, or design rights;
- Attempt to gain unauthorized access to the Website, servers, networks, data, or connected systems;
- Engage in data scraping, screen scraping, crawling, spidering, or use any automated system to extract data from the Website without prior written consent;
- Interfere with or disrupt the operation, functionality, or security of the Website, including by uploading or distributing viruses, malware, spyware, trojans, or other harmful code;
- Create multiple accounts for fraudulent purposes, including to abuse discount offers, promotions, or referral campaigns;
- Use any device, software, or routine to bypass Website security features;
- Misrepresent identity or impersonate any individual or entity, including employees or representatives of the Company;
- Post fake reviews, falsify transaction data, or manipulate any feedback, rating, or testimonial mechanism;
- Host, display, upload, modify, publish, or share any information that violates the IT (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021.
Company Rights on Violation. The Company reserves the right, at its sole discretion and without prior notice, to:
- Restrict, suspend, or terminate access to the Website or the User's Account;
- Remove any unlawful or prohibited content uploaded by the User;
- Initiate civil or criminal proceedings against the User under applicable laws;
- Report the violation to appropriate government or enforcement authorities;
- Retain and disclose any information deemed necessary to comply with legal obligations or protect the Company's rights, property, and safety.
User Acknowledgement. By continuing to use the Website, the User expressly acknowledges that they have read, understood, and agreed to abide by this Acceptable Use Policy. Violations may result in legal action, including indemnity claims, deactivation of the User's Account, or a permanent ban from the platform.
6. Product Information & Listings
The Company makes every reasonable effort to ensure that all products offered for sale are accurately described, clearly categorized, and accompanied by comprehensive details, including product name, specifications, available sizes, color options, material composition, price, promotional offers (if any), and relevant disclaimers.
The User acknowledges that minor variations may occur in the appearance of products due to lighting, digital display settings, photographic editing, or manufacturing tolerances. Such variations shall not constitute a defect or grounds for a claim unless the product significantly deviates from the core description or functionality.
All product images shown on the Website are for illustrative purposes only. Actual products may vary slightly in color, pattern, texture, or finish.
Product availability is subject to stock levels, and the Company reserves the right to withdraw or modify any product listing at its sole discretion without prior notice. Where a product is listed at an incorrect price or with incorrect information due to a typographical or technical error, the Company reserves the right to refuse or cancel any order placed for such product, even after confirmation and payment. In such cases, a refund/credit shall be initiated as per the Refund & Exchange Policy.
The Company does not guarantee that product descriptions or other content on the Website are accurate, complete, reliable, current, or error-free. Users are encouraged to contact customer support for clarification prior to placing an order. No information on the Website shall be deemed to constitute a warranty or guarantee unless expressly stated as such.
7. Pricing, Payment Terms & Order Confirmation
Product Pricing. All prices displayed on the Website are listed in Indian Rupees (INR) and are inclusive of applicable GST, unless expressly stated otherwise. The Company reserves the right to modify pricing, discount structures, or promotional offers at its sole discretion, without prior notice; such changes shall not affect orders already confirmed and paid for.
Where a pricing discrepancy arises due to typographical error, technical issue, or system malfunction, the Company reserves the right to cancel such orders and issue a full refund/credit to the User.
Payment Methods. The Company accepts payment through secure, RBI-compliant third-party payment gateways. All transactions are encrypted using SSL protocols and tokenized through PCI-DSS-compliant infrastructure. The Company does not store payment credentials, except masked/tokenized identifiers as permitted under applicable law and the Privacy Policy.
Shipping Charges. All orders are subject to shipping charges determined by delivery location, product weight, and applicable shipping category, clearly displayed at checkout. Domestic and international shipping charges, free-shipping thresholds, and the Company's policy on non-refundable shipping fees are governed by the Shipping Policy. Users should refer to the Shipping Policy for details on:
- Standard and express shipping categories;
- International delivery zones and costs;
- Shipping timelines;
- Return shipping responsibilities;
- RTO (Return to Origin) handling and re-dispatch charges;
- Force majeure impact on delivery obligations.
The Company reserves the right to revise shipping charges at its sole discretion; such revisions shall not apply to orders already confirmed and paid for.
8. Order Confirmation & Fulfillment
Order Acknowledgement. Upon successful checkout and payment, the User will receive an automated order acknowledgement email confirming receipt of the order. This acknowledgement does not constitute final acceptance and is subject to processing and internal verification.
Order Processing & Verification. All orders are subject to standard verification, including stock availability checks, payment authorization, shipping address validation, and fraud detection protocols. The Company reserves the right to cancel or modify an order in case of non-compliance, inventory errors, or payment issues, as detailed in Clause 9 (Order Cancellation Rights).
Order Acceptance & Fulfilment. An order is deemed accepted only upon (i) completion of internal verification, (ii) packaging and assignment to a logistics partner, and (iii) issuance of a shipping confirmation email with a tracking ID. Estimated dispatch time ranges from 1 to 3 business days after successful order verification. Delivery timelines thereafter are governed by Clause 11 (Shipping, Delivery Timelines & Risk Disclaimer).
Non-Binding Product Availability. All products are offered subject to availability. Where simultaneous orders lead to stock depletion before processing, the Company may cancel the order and notify the User, with a refund/credit initiated per the Refund & Exchange Policy.
9. Order Cancellation Rights
9.1 Cancellation by Customer
Customers may cancel their order free of charge within 24 (twenty-four) hours of placing the order, provided the order has not already been dispatched. To request cancellation, the Customer must contact the Company's support team at [Support Email] with the subject line "Cancellation Request – [Order ID]," citing the order number and reason for cancellation.
Cancellation requests received after the 24-hour window, or after the order has been dispatched, shall not be entertained under any circumstances, regardless of the order's processing status.
Pre-orders are non-cancellable except in scenarios explicitly outlined in the Shipping Policy, or where the Company is unable to fulfil the order within the communicated timeframe.
9.2 Cancellation by the Company
The Company reserves the right, at its sole discretion, to cancel any order (in whole or in part) where:
- The ordered item is out of stock, discontinued, or no longer available;
- Payment authorization fails or remains unconfirmed by the payment gateway;
- The order is flagged for suspicious activity, potential fraud, or breach of platform policies;
- Delivery is not serviceable at the provided address;
- There is an error in pricing or product listing due to a technical or typographical issue;
- The User has a history of repeated cancellations, returns, or policy violations.
In all such cases, the Company shall notify the User by email and initiate a full refund/credit within 7 to 10 business days, as governed by the Refund & Exchange Policy. The Company shall not be liable for losses or inconvenience caused by a cancellation arising from circumstances beyond its reasonable control.
10. Return, Exchange & Refund Summary
The Company offers an exchange facility, on a narrow, verification-based basis, subject to the eligibility conditions, timelines, and process set forth in its Refund & Exchange Policy, which is incorporated herein by reference and available at: [Insert Link]. Customers are strongly advised to read the Refund & Exchange Policy in full before initiating any exchange request.
General Exchange Eligibility. Exchanges are accepted only where:
- The Customer received a Damaged Product (defective or damaged upon arrival); or
- The Customer received a Wrong Item (a product that does not match what was ordered, in design, size, color, or type);
and, in either case, the Company's team has reviewed and verified the Customer's supporting proof (photographs/video of the product, packaging, shipping label, and invoice) and confirmed the claim.
Exchanges are not available for size preference, change of mind, style, or color preference, or any reason other than a verified Damaged Product or Wrong Item.
Exchanges will not be accepted where:
- The request is raised more than 2 (two) days after the date of delivery;
- The Customer's supporting proof does not verify the claim;
- The product is returned without tags, invoice, or original packaging;
- The product shows signs of use, washing, or damage caused by the Customer;
- The product or order is marked "Final Sale" or "Non-Returnable."
Refund Format & Credit Note Issuance. All approved exchanges result in either a product replacement or a non-transferable promo code (Credit Note) redeemable on the Website, at the Company's discretion. The promo code:
- Will be issued only after the returned item passes quality inspection;
- Will be valid for 90 (ninety) calendar days from the date of issuance;
- Will represent the net value of the returned product, excluding original shipping charges (unless waived by the Company);
- Is not convertible into cash and is not transferable to another user or account.
No bank transfers, cash refunds, or payment-method reversals are offered for exchanges under the standard policy.
Exchange Request & Pickup Process. To initiate an exchange, the Customer must:
- Submit a request by email at [Support Email] within 2 days of receiving the product, stating whether the claim is for a Damaged Product or Wrong Item;
- Share clear photographs/video of the product, its packaging, and the shipping label, along with the order invoice;
- Await verification, approval, and pickup confirmation from the Company's logistics partner.
In non-serviceable locations, the Customer may be asked to self-ship the product; the Company will reimburse return shipping charges only where the error is attributable to the Company.
Ineligible and Rejected Exchanges. The Company reserves the right to reject an exchange request or refuse issuance of a promo code where:
- The product fails quality inspection (used, washed, or tampered with);
- The claim cannot be verified by the Company's team;
- The product was returned without approval, or beyond the 2-day window;
- The original invoice, tags, or packaging were not included.
The decision of the Company's Quality Check (QC) team on the validity of a claim shall be final and binding.
Prohibited Products for Exchange. Certain products are non-returnable and non-exchangeable due to their nature, hygiene considerations, customization, or final-sale status, regardless of reason, unless received in a damaged or defective condition.
11. Shipping, Delivery Timelines & Risk Disclaimer
Shipping Partner and Scope. The Company has partnered with a third-party logistics aggregator for domestic and international shipping. The partner may assign delivery responsibilities to affiliated courier partners based on service coverage. Shipping is currently offered across serviceable pin codes within India and to select international destinations, subject to the logistics partner's coverage. The Company shall not be liable for unserviceable locations.
Delivery Timelines. Estimated delivery timelines are indicative and depend on delivery location, product availability, and courier performance. The Company does not guarantee exact delivery dates and shall not be liable for delays caused by courier inefficiencies, natural calamities, strikes, public holidays, remote-area access issues, or force majeure events.
Tracking and Customer Responsibility. Once dispatched, the Customer will receive a shipping confirmation email with the courier partner's name, tracking number, and tracking link. The Customer is responsible for tracking the shipment and raising concerns directly with the courier or the Company in case of abnormal delays or failed deliveries.
Risk Disclaimer Post-Dispatch. Upon dispatch from the Company's warehouse, risk and responsibility for the shipment transfers to the logistics provider. The Company is not liable for delay, loss, theft, or damage in transit; orders marked "delivered" by the courier but claimed as not received; or tampered packaging/missing items post-delivery unless reported with proof immediately upon receipt. The Company may assist the Customer by coordinating with the logistics partner on a best-effort basis but is not obligated to offer replacements, refunds, or re-delivery unless mandated by law.
Pre-Order Terms. Where products are offered on a pre-order basis, the User acknowledges that: full payment is required at the time of placing the pre-order; dispatch timelines are estimated and subject to change due to production, supplier, or logistics delays; pre-orders are non-cancellable and non-refundable, except where the Company fails to fulfil the order within 30 days of the estimated dispatch date; and standard shipping terms and risk disclaimers apply upon dispatch.
Non-Delivery & Return to Origin (RTO). Where an order is undeliverable due to Customer error (e.g., incorrect address, unavailability, or refusal to accept), the shipment may be marked RTO. In such cases: original shipping charges remain non-refundable; re-dispatch shall be done only upon confirmation and advance payment of re-shipping charges by the Customer; and the Company shall not be responsible for delays arising from such RTO instances.

12. Grievance Redressal Mechanism
In accordance with the Information Technology Rules, 2021, the Consumer Protection (E-Commerce) Rules, 2020, and the Digital Personal Data Protection Act, 2023, the Company has appointed a Grievance Officer to address user complaints relating to orders, refunds, returns, platform usage, or personal data.

Note: this is a platform-wide grievance channel required under the IT Rules, 2021, distinct from the exchange-specific process in Clause 10 above.
13. Privacy & Data Protection
The Company is committed to protecting the privacy and personal data of its Users in accordance with the Digital Personal Data Protection Act, 2023, the Information Technology Act, 2000, and the IT (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011.
All personal data collected during browsing, order placement, account registration, payment, or communication is processed in accordance with the Company's Privacy Policy, incorporated into these Terms by reference and available at: [Insert Link].
Users have rights regarding their personal data, including the right to access, correct, withdraw consent, and request deletion, all detailed in the Privacy Policy. For privacy-related concerns, Users may contact the Company's Grievance Officer.
14. Intellectual Property Ownership
All intellectual property rights in and to the Website — including trademarks, service marks, logos, product images, graphics, user interface, layout, content, audio-visual elements, and software code — are the exclusive and worldwide property of CoStar Clothing or its authorized licensors.
These intellectual assets are protected under applicable Indian laws (including the Copyright Act, 1957, and the Trade Marks Act, 1999) as well as international treaties and conventions to which India is a signatory.
Users are strictly prohibited from copying, reproducing, modifying, distributing, republishing, displaying, or commercially exploiting any such content without the Company's prior written consent. Unauthorized use of intellectual property shall constitute a material breach of these Terms and may attract civil and/or criminal liability. All rights not expressly granted herein are reserved by the Company.
15. User Content & Reviews
Users may voluntarily submit product reviews, ratings, testimonials, comments, or other user-generated content ("UGC") through the Website or affiliated channels. By doing so, the User:
- Grants the Company a non-exclusive, royalty-free, worldwide, perpetual license to use, display, reproduce, publish, or modify such content for marketing, product improvement, or promotional purposes;
- Confirms that the content is original, lawful, and does not infringe the rights of any third party;
- Agrees that the Company may remove or moderate such content if it is abusive, misleading, fake, spam, defamatory, or in violation of these Terms.
The Company is not responsible for the views or opinions expressed in User reviews and does not endorse or validate their accuracy.
16. Indemnity
The User agrees to indemnify, defend, and hold harmless CoStar Clothing, its affiliates, directors, officers, employees, agents, licensors, and service providers from and against any claims, losses, liabilities, damages, penalties, expenses, or costs (including reasonable attorney's fees) arising out of or relating to:
- The User's breach of these Terms or any other Company policy (including the Privacy Policy, Acceptable Use Policy, Refund & Exchange Policy, or Shipping Policy);
- Any content submitted or shared by the User that violates third-party rights or applicable laws;
- Violation of intellectual property rights, privacy rights, or any legal rights of third parties by the User;
- Any fraud, misrepresentation, negligence, or unlawful conduct by the User during use of the Website or any transaction;
- Disputes or non-compliance relating to multiple or unauthorized account creation or order tampering.
This indemnification obligation shall survive the termination or expiry of these Terms and the User's use of the Website.
17. Limitation of Liability
To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, punitive, consequential, or special damages, including loss of data, loss of profits, or business interruption, arising out of or in connection with the use of the Website, reliance on content, delays in delivery, product dissatisfaction, or inability to access services.
The Company's total aggregate liability for any direct damages arising under these Terms, whether in contract, tort, or otherwise, shall not exceed the amount actually paid by the User for the relevant order.
18. Miscellaneous
Governing Law & Jurisdiction. These Terms shall be governed by and construed in accordance with the laws of India. Subject to Clause 12 (Grievance Redressal Mechanism), any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts situated in [City], India.

Limited Period Sale Terms

1. Scope of Sale
The promotional discount offer ("Sale") is applicable only to specific, selected products expressly marked as part of the Sale on the Website. The Sale does not apply site-wide; products not marked under the Sale continue to be sold at regular prices.
2. Sale Period
The Sale is a limited-period promotional offer, valid only for the duration stated on the Website at the time it is made live. Upon expiry, all Sale prices automatically revert to their original, non-discounted prices without prior notice.
3. Limited Stock Availability
All Sale products are subject to limited stock availability. CoStar Clothing does not guarantee the availability of any particular product, size, color, or variant during the Sale period. Orders may be cancelled or modified if stock becomes unavailable at any stage of order processing.
4. Returns and Exchanges: Sale Products
Notwithstanding anything contained in CoStar Clothing's general Refund & Exchange Policy, the following conditions apply exclusively to Sale products:
- Exchanges shall be permitted only in cases of a verified manufacturing defect.
- No exchange shall be permitted for reasons including but not limited to: change of mind, size or fit issues, color or style preference, incorrect ordering by the Customer, or delivery delays attributable to logistics partners or force majeure events.
- All manufacturing defect claims are subject to CoStar Clothing's internal quality inspection and approval process, and must still be raised within the standard exchange window and process set out in Clause 10.
5. Cash on Delivery (COD)
Where displayed as available for Sale products, COD is subject to: successful completion of the Company's fraud, risk, and security checks; the sole and absolute discretion of the Company, without obligation to provide reasons; and availability/serviceability of COD by the Company's logistics partners for the delivery location. The Company reserves the right to disable or withdraw COD for any Sale order prior to dispatch.
6. Order Acceptance, Cancellation & Refunds
Placement of an order does not constitute final acceptance by the Company. The Company reserves the right to cancel or refuse any order due to stock unavailability, pricing or technical errors, suspected fraudulent activity, or non-serviceable locations. Where an order is cancelled by the Company after payment, refunds/credits shall be processed in accordance with applicable law and the Consumer Protection (E-Commerce) Rules, 2020.
7. Applicable Laws

8. Governing Website Terms
Except to the extent expressly modified by these Sale-specific Terms, all other terms, conditions, policies, disclaimers, representations, warranties, limitations of liability, indemnities, governing law, and dispute resolution provisions of these Terms and Conditions shall continue to apply. In the event of any inconsistency between these Sale Terms and the parent Terms and Conditions, these Sale Terms shall prevail solely in relation to Sale products and Sale transactions.
9. Finality
All decisions taken by CoStar Clothing in relation to Sale eligibility, pricing, duration, stock availability, COD eligibility, quality inspection, exchanges, and order acceptance shall be final and binding.
